1. Introduction
These Terms & Conditions (“Terms”) govern your use of TeamRep services, including AI chatbots, virtual calling, and related services (“Services”). By subscribing, using, or accessing our Services, you agree to these Terms.

2. Services
TeamRep provides AI-powered chatbots and virtual calling solutions for small and medium businesses. Services include setup, maintenance, and support as described in your subscription plan.

3. Client Responsibilities
- You are responsible for all content and customer data processed through our Services.
- You must comply with all applicable laws, including UK GDPR and other data protection regulations.
- TeamRep is not responsible for the actions or communications of your customers.

4. Access & Account
- Services are provided under a subscription plan.
- Accounts must be used only by authorized personnel.
- You are responsible for maintaining the confidentiality of login credentials.
- TeamRep may suspend or terminate accounts for violation of Terms.

5. Payment & Subscription
- Subscription fees are billed as per your selected plan.
- Payment is required in advance for each billing cycle.
- Late or failed payments may result in suspension of Services.
- Fees are non-refundable unless otherwise stated.

6. Ownership & Intellectual Property
- TeamRep retains all rights, title, and interest in its Services, software, content, and intellectual property.
- You are granted a limited, non-exclusive license to use the Services during your subscription.
- You may not copy, modify, resell, or reverse-engineer the Services.

-7. Limitation of Liability
- TeamRep is not liable for any indirect, incidental, or consequential losses arising from the use of Services.
- Our liability for direct losses shall not exceed the total amount paid by you for Services in the 12 months preceding the claim.
- We do not guarantee uninterrupted or error-free service.

-8. Data & Privacy
- Client data is controlled by the client (you). TeamRep does not monitor or access customer messages except for technical support requested by the client.
- Use of third-party tools (e.g., Tidio) is governed by their own policies.

9. Termination
- Either party may terminate the Services with notice as per the subscription agreement.
- Upon termination, access to the Services will cease immediately.
- TeamRep may remove your data after termination, unless otherwise required by law.

10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms
TeamRep may update these Terms at any time. Updated Terms will be posted on our website, and continued use of the Services constitutes acceptance of the new Terms.
